PAYMENT OF SERVICE FEES:
The Web Site Owner agrees to pay the amount (the "Monthly Service Fee") to Pro Design Sites listed in the section above as agreed upon with Pro Design Sites for the term of this hosting lease. In the event the Web Site Owner has not paid within the agreed payment date, Pro Design Sites shall have the right to remove all of the Pages from the Web Host and suspend the services. Pro Design Sites is responsible to submit payment, whether from the Associates or the Web Site Owner, to pay the Web Hosting Company for its monthly services and account, otherwise services will be terminated.
TERMINATION:
The Web Site Owner acknowledges and agrees that Pro Design Sites may terminate this Agreement at any time, immediately following the issuance of written notice to Pro Design Sites and any Associates, if in Pro Design Sites's sole discretion the Pages or any portion thereof violate generally accepted standards of good taste and acceptable business practices.
CONSEQUENCES OF TERMINATION:
Upon the termination of this agreement, Pro Design Sites will remove as promptly as possible all of the Pages (and product listings) from the Web Host.
INDEMNIFICATION:
The Web Site Owner agrees to indemnify Pro Design Sites (including their respective officers, directors, agents and employees) against and hold them harmless from, all costs, expenses and liabilities arising from or related to the Pages.
SEVERABILITY AND WAIVER:
Should any provision of the Agreement held by a court of law to be illegal, invalid or unenforceable, the legality, validity and enforceability of the remaining provision of the Agreement shall not be affected or impaired thereby. The failure of any party to enforce any of the terms of conditions of the Agreement, unless waived in writing, shall not constitute a waiver of that party's right to enforce each and every other term and condition of the Agreement.
GOVERNING LAW:
The Agreement shall be deemed to have been entered into and shall be interpreted and governed in all respects by the laws of the state in which the Agreement was signed, as they apply to contracts between residents of that State and to be performed entirely in that State. Except as otherwise provided, all rights of the parties are cumulative and in addition to any rights that a party may have in law or in equity.
TAXES:
The customer agrees to assume full responsibility for the payment of all sales, use, property, excise, duties, or other taxes due upon sale of products and services related to order transactions from buyers using Pro Design Sites designed web sites.
NOTICE:
Any notice, demand, request or consent required or permitted by the Agreement shall be in writing and shall be given by certified mail, return receipt requested, or via Federal Express, to Steve Haney - Owner of Pro Design Sites listed herein.
EXPORT CONTROL:
The customer agrees that it will not export or re-export any of the products or services listed for sale on the Pro Design Sites designed web sites without the appropriate United States and foreign government licenses.
